Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the SRED Platform (“Service”) operated by SRED Platform (“we”, “our”, “us”). By using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of your organization to use this Service. By creating an account you represent that you meet these requirements.

2. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized access or security breach.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

4. Third-Party Integrations

The Service allows you to connect third-party accounts (GitHub, Google Drive, Notion, etc.). By connecting an integration you authorize us to access and import the content you select, including supported documents and spreadsheets you explicitly choose for analysis. You are responsible for ensuring you have the right to share that content with the Service. We are not responsible for the availability or practices of third-party services.

5. Intellectual Property

You retain all rights to content you import into the Service. We do not claim ownership of your data. We retain ownership of the Service, its design, code, and underlying technology.

6. AI-Generated Content

The Service uses AI models to generate SR&ED claim drafts, summaries, and analysis. AI-generated content is provided as a starting point and should be reviewed by qualified professionals before submission to the CRA. We do not guarantee the accuracy, completeness, or eligibility of AI-generated outputs.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not a tax advisory firm and the Service does not constitute tax, legal, or financial advice.

8. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or tax credits.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may stop using the Service at any time by deleting your account.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
